1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you” or “user”) and LearnCenter LLC (“LearnCenter,” “we,” “our,” or “us”) governing your access to and use of the LearnCenter application, website at learncenter.dev, and related services (collectively, the “Service”).

BY CREATING AN ACCOUNT OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT ACCESS OR USE THE SERVICE.

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

2. Eligibility

You must be at least 13 years old to use the Service. If you are under 18, you represent that you have your parent or guardian's permission to use the Service. By using the Service, you represent and warrant that:

You meet the age requirements stated above
You have the legal capacity to enter into these Terms
You are not prohibited from using the Service under applicable law
Your use of the Service will not violate any applicable law or regulation

3. Account Registration and Security

3.1 Account Creation

To access certain features of the Service, you must create an account using a valid email address and password, or through Google authentication. You agree to provide accurate, current, and complete information during registration.

3.2 Account Security

You are responsible for:

Maintaining the confidentiality of your login credentials
All activities that occur under your account
Notifying us immediately of any unauthorized access to your account

We are not liable for any loss or damage arising from unauthorized use of your account.

3.3 Account Termination

You may delete your account at any time through Settings → Account → Delete Account. We reserve the right to suspend or terminate your account if you violate these Terms.

4. Description of Service

LearnCenter is a flashcard and spaced repetition learning platform that provides:

Content Organization: Create and organize subjects, decks, and flashcards
Spaced Repetition: Intelligent study algorithms that optimize learning retention
AI-Powered Generation: Automatic flashcard creation from text content using artificial intelligence
Analytics: Track study progress, session history, and performance metrics
Import/Export: Import and export flashcards in CSV format

5. Subscriptions, Payments, and Refunds

5.1 Free and Paid Plans

The Service offers both free and paid subscription plans. Free accounts include limited features and a monthly AI credit allowance. Pro subscriptions provide enhanced features and increased AI credits.

5.2 AI Credits

AI-powered features consume credits. Free accounts receive a limited monthly credit allowance. Pro subscribers receive an enhanced monthly allowance. Additional “Floating Credits” may be purchased as one-time transactions.

5.3 Credit Expiration

Monthly credit allowances reset at the beginning of each billing period; unused monthly credits do not roll over unless you have an active Pro subscription with rollover benefits. Floating Credits that remain unused for twelve (12) consecutive months of account inactivity may expire without compensation. We will provide at least 30 days' notice via email before any credit expiration.

5.4 Billing

All payments are processed through Stripe. By subscribing to a paid plan, you authorize Stripe to charge your payment method on a recurring basis according to your chosen billing cycle (monthly or yearly). Prices are displayed in USD and do not include applicable taxes.

5.5 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless canceled. You may cancel your subscription at any time through Settings → Billing → Manage Subscription. Cancellation takes effect at the end of the current billing period.

5.6 Refund Policy

ALL PURCHASES ARE FINAL AND NON-REFUNDABLE upon completion of the transaction, except where expressly required by applicable law.

Subscriptions: No refunds are provided for subscription fees. If you cancel your subscription, you retain access to Pro features until the end of your current paid billing period. Cancellation does not entitle you to a pro-rated refund for any unused portion of the billing period.
Credit Purchases: One-time credit purchases (Floating Credits) are non-refundable once purchased. Credits are immediately available upon successful payment.

We encourage you to review all features available in the free tier before upgrading to ensure the Service meets your needs.

5.7 Price Changes

We reserve the right to change subscription prices. We will provide at least 30 days' notice before price changes take effect. Price changes will apply to the next billing cycle after the change.

5.8 Service Modifications

We reserve the right to modify, suspend, or discontinue any feature, functionality, or aspect of the Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service or any part thereof. Changes to subscription benefits will be communicated to active subscribers.

6. User Content

6.1 Ownership

You retain ownership of all content you create or upload to the Service (“User Content”), including subjects, decks, flashcards, and text submitted for AI processing.

6.2 License Grant

By submitting User Content, you grant LearnCenter a worldwide, non-exclusive, royalty-free license to use, store, display, reproduce, and process your content solely for the purpose of providing and improving the Service. This license terminates when you delete your content or account.

6.3 Content Restrictions

You agree not to upload, create, or share content that:

Infringes any third party's intellectual property rights
Is unlawful, defamatory, obscene, or harmful
Contains malware, viruses, or malicious code
Violates the privacy rights of others
Promotes illegal activities
Impersonates another person or entity

6.4 Content Removal

We reserve the right to remove any User Content that violates these Terms or that we deem inappropriate, without prior notice.

7. Artificial Intelligence Features

7.1 AI-Generated Content

The Service provides AI-powered features that generate flashcard content based on text you provide. AI-generated content is produced using third-party AI services (currently Google Gemini).

7.2 Accuracy and Verification

IMPORTANT: AI-generated content may contain errors, inaccuracies, or “hallucinations.” You are solely responsible for reviewing and verifying AI-generated content before use. LearnCenter does not guarantee the accuracy, completeness, or reliability of AI-generated content.

7.3 Ownership of AI Outputs

Subject to the underlying rights in any input material, you own the AI-generated flashcard content created using your account. However, similar content may be generated for other users from similar inputs.

7.4 Third-Party AI Services

Our AI features are powered by Google Gemini. By using AI features, you acknowledge that your input text is transmitted to Google for processing. Google's use of this data is governed by their terms and privacy policies. We recommend avoiding submission of highly confidential or sensitive personal information to AI features.

7.5 Prohibited AI Uses

You may not use AI features to:

Generate content that infringes third-party intellectual property
Create harmful, misleading, or deceptive content
Violate any applicable laws or regulations
Circumvent usage limits through unusual means

8. Intellectual Property

8.1 Our Intellectual Property

The Service, including its design, code, features, logos, and content created by LearnCenter, is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.

8.2 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use such feedback without restriction or compensation.

8.3 DMCA Compliance

If you believe content on the Service infringes your copyright, please contact us at legal@learncenter.dev with:

Identification of the copyrighted work
Identification of the allegedly infringing material
Your contact information
A statement of good faith belief that the use is not authorized
A statement under penalty of perjury that the information is accurate
Your physical or electronic signature

9. Prohibited Conduct

You agree not to:

Violate any applicable law, regulation, or these Terms
Attempt to gain unauthorized access to the Service, other accounts, or systems
Use automated tools, bots, or scripts to access the Service (except as permitted)
Interfere with or disrupt the Service or its infrastructure
Circumvent, disable, or interfere with security features
Reverse engineer, decompile, or disassemble the Service
Use the Service for competitive analysis or to build competing products
Resell, sublicense, or commercialize the Service without authorization
Harass, abuse, or harm other users
Send spam or unsolicited communications through the Service

10. Third-Party Services

The Service integrates with third-party services including Firebase (Google), Stripe, and Google Gemini. Your use of these third-party services is subject to their terms and privacy policies. We are not responsible for the practices or content of third-party services.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.

WE DO NOT WARRANT THAT:

THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
DEFECTS WILL BE CORRECTED
THE SERVICE IS FREE OF VIRUSES OR HARMFUL COMPONENTS
THE SERVICE WILL MEET YOUR REQUIREMENTS
AI-GENERATED CONTENT WILL BE ACCURATE OR SUITABLE FOR ANY PURPOSE

LEARNCENTER IS NOT AN EDUCATIONAL INSTITUTION. THE SERVICE IS A STUDY TOOL AND IS NOT INTENDED TO REPLACE FORMAL EDUCATION, PROFESSIONAL INSTRUCTION, OR EXPERT ADVICE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LEARNCENTER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR:

ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICE
UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE
ERRORS OR INACCURACIES IN AI-GENERATED CONTENT

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

13. Indemnification

You agree to indemnify, defend, and hold harmless LearnCenter and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to:

Your use of the Service
Your User Content
Your violation of these Terms
Your violation of any rights of another party
Your violation of any applicable law

14. Dispute Resolution

14.1 Informal Resolution

Before filing a formal dispute, you agree to attempt to resolve the dispute informally by contacting us at legal@learncenter.dev. We will attempt to resolve the dispute within 60 days.

14.2 Arbitration Agreement

If informal resolution fails, any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration shall take place in California or remotely at your election.

14.3 Class Action Waiver

YOU AND LEARNCENTER AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

14.4 Exceptions

Either party may seek injunctive relief in any court of competent jurisdiction for infringement of intellectual property rights.

15. Governing Law

These Terms and any dispute arising out of or related to the Terms or the Service shall be governed by the laws of the State of California, United States, without regard to its conflict of law provisions.

16. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Reasons for termination may include:

Violation of these Terms
Fraudulent, abusive, or harmful conduct
Failure to pay subscription fees
Requests by law enforcement
Discontinuation of the Service

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Disclaimers, Limitation of Liability, Indemnification, and Dispute Resolution) shall survive.

17. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and LearnCenter regarding the Service.

17.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

17.4 Assignment

You may not assign or transfer these Terms or your rights hereunder. We may assign our rights and obligations under these Terms to an affiliate or successor without restriction.

17.5 Force Majeure

We shall not be liable for any failure or delay caused by circumstances beyond our reasonable control, including natural disasters, acts of government, or internet disruptions.
